1. Who Are We?

"Noutala" ("we", "our") is a software service (SaaS) developed and managed by Komi Thomas Agboguin, a sole proprietor based in Finland ("the Owner"). "You" refers to any individual or entity using our Services.

2. Description of Services

Noutala provides a multitenant platform for creating and hosting professional portfolios. Services include, but are not limited to:

  • "Free" Plan: A free account with a *.noutala.com subdomain, storage limits (100MB), and limits on the number of Projects, Services, and Products.
  • "Pro" / "Founder" Plan: A paid service (subscription or one-time payment) unlocking advanced features, including custom domains, more storage, and access to AI features.

3. Your Account

You are responsible for the security of your account and password. Authentication is managed via secure third-party providers (Google, GitHub, etc.) and by email via Supabase Auth. You are responsible for all content published under your account.

You agree to provide accurate and up-to-date information upon registration. You must notify us immediately of any unauthorized use of your account.

4. User Content

You retain full ownership of your content (texts, images, projects). However, by using Noutala, you grant us a limited license to host, display, and serve this content (via Vercel and Supabase Storage) exclusively for the purpose of operating your public portfolio. You warrant that you own the rights to the content you publish.

You agree not to publish content that:

  • Violates the intellectual property rights of others
  • Is illegal, defamatory, harassing, or offensive
  • Contains viruses, malware, or any malicious code
  • Violates applicable laws in Finland or the European Union

5. Payments, Subscriptions, and Refunds

All payments for Pro and Founder plans are managed by our third-party payment processor, Stripe. By subscribing, you agree to Stripe's terms.

  • Subscriptions ("Pro"): Pro plans are billed on a recurring basis (monthly or annually) and renew automatically unless cancelled by you. You can cancel at any time from your dashboard.
  • One-Time Payments ("Founder"): The Founder offer (LTD) is a one-time, non-refundable payment that gives lifetime access to Pro features.
  • Refunds: Unless otherwise stated or required by law, all payments are final and non-refundable. In the event of a major technical issue on our part, we reserve the right to offer a pro-rated refund.
  • Taxes: Displayed prices may be subject to VAT or other applicable taxes depending on your location.

6. Custom Domains

Pro users can connect their own domain name. This service is facilitated by the Vercel API. You are responsible for the correct configuration of your DNS records (A, CNAME, TXT) with your registrar (LWS, GoDaddy, etc.).

We are not responsible for issues related to your registrar's DNS configuration. The domain name must be legally registered in your name and must not violate trademark rights.

7. AI Feature (BYOK)

Noutala allows you to connect your own API key (Bring Your Own Key - BYOK) for services like OpenAI or Google Gemini.

  • You are solely responsible for costs incurred on your API key.
  • We act as a technical intermediary to call the API on your behalf. We are not responsible for the quality or availability of services provided by these third parties (OpenAI, Google).
  • Your API key is stored encrypted in our database and is only used to execute your requests.
  • You must comply with the terms of use of third-party AI providers.

8. Limitation of Liability

The service is provided "as is". As a project managed by a sole proprietor, we cannot guarantee 100% uninterrupted service, although we strive to achieve the best possible availability via our partners (Vercel, Supabase).

To the fullest extent permitted by applicable law:

  • We will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
  • Our total liability to you for all claims arising out of these terms will not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for the actions or omissions of third parties, including infrastructure providers (Vercel, Supabase, Stripe).

9. Termination and Suspension

You can terminate your account at any time by deleting your account from your dashboard. For Pro subscriptions, cancellation will take effect at the end of the current billing period.

We reserve the right to suspend or terminate your account if:

  • You violate these Terms of Service
  • You publish illegal content or content violating the rights of others
  • Your payment fails or is disputed
  • Your use endangers the security or stability of our platform

In case of termination, your data will be retained for 30 days and then permanently deleted, in accordance with our Privacy Policy and GDPR.

10. Intellectual Property

Noutala and all its elements (logo, design, source code, documentation) are the exclusive property of Komi Thomas A. and are protected by intellectual property laws in Finland and internationally.

You are not authorized to copy, modify, distribute, or create derivative works of our platform without prior written permission.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Significant changes will be notified by email to active users at least 30 days before they take effect.

By continuing to use Noutala after the changes take effect, you agree to the new terms. If you do not agree to the changes, you must stop using our services.

12. Security and Availability

We implement appropriate technical and organizational security measures to protect your data, including:

  • Encryption of data in transit (HTTPS/TLS)
  • Secure authentication via Supabase Auth
  • Row-Level Security (RLS) in the database
  • Regular backups via Supabase

However, no system is completely secure. You acknowledge that you use the service at your own risk.

13. Legal Compliance and Jurisdiction

These Terms of Service are governed by the laws of Finland and the European Union. Any dispute arising from these terms will be subject to the exclusive jurisdiction of the courts of Finland.

14. Acceptable Use

By using Noutala, you agree not to:

  • Use the service for illegal or unauthorized purposes
  • Attempt to access accounts or systems without authorization
  • Interfere with the normal operation of the service
  • Use robots, scrapers, or automated tools without permission
  • Create multiple free accounts to bypass limitations
  • Resell or redistribute the service without authorization

Use of these services is subject to their respective terms of use.

These Terms of Service constitute the entire agreement between you and Noutala regarding the use of our services. They supersede all prior agreements or understandings.
